Anthropic Files Confidential S-1 With SEC — $965B Valuation, Fall 2026 IPO Target
Anthropic submitted a confidential draft S-1 to the SEC on June 1, positioning the AI lab for a public offering near a $965 billion valuation. The move puts Anthropic ahead of OpenAI in the race to go public.
Anthropic filed a confidential draft registration statement on Form S-1 with the U.S. Securities and Exchange Commission on June 1, 2026. The company is targeting a public offering near a $965 billion valuation, and it now leads OpenAI in the race to become the first frontier AI lab to list on a U.S. exchange.
The filing is confidential — Anthropic has not yet disclosed the number of shares on offer or the price range. That detail comes later, once the SEC completes its review and Anthropic chooses to make the registration effective. But the act of submitting puts a clock on the process: companies typically move from a confidential S-1 submission to an IPO roadshow within six to twelve months.
The timing is no accident. Anthropic closed a $30 billion Series H at a $900 billion valuation earlier this year. The S-1 filing suggests leadership believes public markets will price the company higher, or at minimum that the capital structure and investor liquidity goals make a listing the next logical step.
The broader context is striking. Anthropic, OpenAI, and SpaceX are now all moving toward public markets at roughly the same time. The Economist estimated these three companies could add $4 trillion in combined market value to public equity markets when they list — a wave that would test institutional investor appetite for AI at trillion-dollar valuations.
Anthropic’s business is built around Claude. The Claude 3 and 4 families serve enterprise clients through the API and the claude.ai consumer tier, with Anthropic reporting rapid revenue growth driven by agentic deployments and API volume. The recently unveiled Claude Mythos, restricted to government and national security partners under Project Glasswing, signals a parallel defense and intelligence revenue stream that could be a material line item in a public filing.
One thing the S-1 will need to address directly: the company’s unusual benefit corporation structure and its stated mission to build AI “for the long-term benefit of humanity.” Anthropic has consistently argued this is compatible with commercial success. Institutional investors will scrutinize that claim with fresh intensity once they can read audited financials.
No IPO date has been set. The standard caveat applies — Anthropic said the offering will proceed subject to market conditions. But with this filing, the question has shifted from whether Anthropic goes public to when.
